The purpose of this study was to obtain compensation, benefits, incentive, and general background information for Board of Directors. Data was collected in March and April 2009, and was compiled from survey questions that were developed by CRI and distributed to companies in over 13 industrial classifications, representing publicly-traded, privately-held, employee owned (ESOP), and not-for-profit organizations.
This survey reports Board meeting information, including, number of meetings per year, meeting fees, retainers and option grants. The survey also reports other forms of compensation, such as car allowance, dental insurance, stock options, etc. Highlights of results of this year's survey indicate:
- A formally-established Board of Directors or Advisor exists in an overwhelming majority of respondents.
- Less than 20% of organizations increased Directors' compensation during the last year.
- Board performance is formally evaluated on a regular basis among about one-third of all respondents.
